1. Acceptance of Terms

Please read the following terms and conditions of use carefully before using this website. By accessing or using The Badge website at badge.esca.org or any related website operated by the Exhibition Services & Contractors Association (“ESCA,” “we,” “us,” or “our”) (collectively, the “Badge Site”), you agree to these terms and conditions of use (“Terms”), and you assume total responsibility and risk for your use of the Badge Site and any services contained therein. If you do not agree to these Terms, please do not use the Badge Site.

The Badge Site and its services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Badge Site.

2. User Registration and Accounts

You may be required to register for an account to use certain features of the Badge Site, including applying for, renewing, or managing a badge. By registering, you represent and warrant that all registration information you submit is true, accurate, current, and complete, and you agree to promptly update such information as necessary to keep it accurate.

You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Badge Site (or any portion thereof).

3. Purchases and Payment

We accept the following forms of payment: Visa, Mastercard, American Express, and Discover.

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Badge Site, and to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. Sales tax will be added to the price of purchases as required. All payments shall be in US dollars.

You agree to pay all charges at the prices then in effect for your purchases, and you authorize us to charge your chosen payment provider for any such amounts upon placing your order. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment, and to refuse any order placed through the Badge Site.

4. Restrictions on Use

You may use the Badge Site for lawful purposes only. Any use of the Badge Site for the transmission or storage of any information, data, content, or material in violation of any federal, state, or local regulation or law — including, but not limited to, material protected by copyright, trademark, trade secret, or information that is confidential as a matter of law — is strictly prohibited. Without limiting the generality of the foregoing, you may not use the Badge Site to send or otherwise distribute unsolicited email or advertising, or for posting or transmitting any infringing, illegal, sexually explicit, hateful, vulgar, threatening, abusive, harassing, defamatory, or racially, ethnically, or otherwise objectionable material, including, without limitation, any materials that could give rise to any liability to ESCA or that might adversely affect ESCA or its members’ public image, reputation, or goodwill.

You also agree not to: (a) interfere with or disrupt the operation of the Badge Site or servers or networks connected to it; (b) attempt to gain unauthorized access to any portion of the Badge Site, other accounts, computer systems, or networks connected to the Badge Site; (c) use any robot, spider, scraper, or other automated means to access the Badge Site; or (d) collect or harvest any personally identifiable information, including account names or contact information, from the Badge Site.

5. Content and Proprietary Rights

Proprietary Rights. You acknowledge and agree that all right, title, and interest in and to the information, data, software, photographs, graphics, videos, music, and other material (collectively, the “Content”) contained on the Badge Site, including, without limitation, any copyrights in or to the Content, belong to ESCA and its content providers, and you agree not to assert any claims to the contrary. You acknowledge that Content on the Badge Site may change at any time, without any obligation on the part of ESCA to notify you of such changes.

Restrictions. You may not (i) edit, alter, modify, or prepare any derivative works of the Content or any portion thereof; (ii) remove or alter any credits, notices (including, without limitation, copyright, trademark, and service mark notices) or logos that are included on the Badge Site or in the Content; or (iii) resell, sublicense, or otherwise transfer, distribute, or make available to others all or any portion of the Content in any form. Subject to the foregoing and any additional restrictions that may be contained on the Badge Site or imposed by applicable law (including, without limitation, applicable copyright laws), you may make copies of select portions of the Content, provided that the copies are made for your internal, non-commercial use only.

6. User Content

You acknowledge and agree that the Badge Site may contain Content that is provided by third parties, including, without limitation, other users of the Badge Site, members, exhibitors, sponsors, and partners. You understand that, except for information, products, or services clearly identified as being supplied by ESCA, ESCA does not operate, control, or endorse any information, products, or services on the Badge Site in any way. Except for ESCA-identified information, products, or services, all information, products, and services offered on the Badge Site generally are offered by third parties that are not affiliated with ESCA. ESCA is a distributor with respect to the Content provided by third parties and does not undertake to, and is not responsible for, reviewing or editing any third-party Content. Any opinions, advice, statements, services, offers, or other information contained in third-party Content are those of their respective authors and not of ESCA or any of its affiliates. The information included on the Badge Site could include technical or other inaccuracies or typographical errors. It is solely your responsibility to evaluate the accuracy, completeness, and usefulness of all opinions, advice, services, merchandise, and other information provided through the Badge Site. ESCA reserves the right to delete from the Badge Site any Content that you provide or post on the Badge Site, at any time and for any reason.

By submitting, posting, or otherwise providing any Content to ESCA or through the Badge Site, you grant ESCA a non-exclusive, perpetual, irrevocable, royalty-free, worldwide, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly perform, and publicly display such Content in any media now known or later developed, in connection with ESCA’s operations, communications, marketing, and educational activities.

If you believe that any Content contained on the Badge Site infringes upon any copyrights that you own, you may notify ESCA’s designated agent pursuant to the Digital Millennium Copyright Act by email at hello@esca.org (subject line: “DMCA Notice”) or by mail to: Exhibition Services & Contractors Association, Attn: DMCA Agent, 8501 W. 191st Street, Unit 1, Mokena, IL 60448. Your notice must include all information required by 17 U.S.C. § 512(c)(3), including: (a) a physical or electronic signature of the copyright owner or a person authorized to act on the owner’s behalf; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material that is claimed to be infringing and information reasonably sufficient to permit ESCA to locate the material; (d) your contact information; (e) a statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (f) a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

The Badge Site may contain links that allow access to third-party websites. These linked sites are not under the control of ESCA, and ESCA is not responsible for the contents of any linked site. ESCA does not undertake to and is not responsible for reviewing other websites to which the Badge Site may be linked. ESCA provides links only as a convenience, and the inclusion of any link does not imply endorsement by ESCA of the linked site. Access to any other website linked to the Badge Site is at your own discretion and risk.

9. Privacy

Your use of the Badge Site is also governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by this reference. Please be advised that the Badge Site is hosted in the United States. If you access the Badge Site from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in the United States, then through your continued use of the Badge Site, you are transferring your data to the United States, and you expressly consent to have your data transferred to and processed in the United States.

10. Disclaimer of Warranty

The Badge Site and the content contained on or provided through the Badge Site are provided “as is,” “as available,” and without any representations or warranties, express, implied, or statutory, including, without limitation, any implied warranty of merchantability, non-infringement, or fitness for a particular purpose, and ESCA hereby disclaims the same. Without limiting the generality of the foregoing, ESCA does not warrant that the Badge Site will operate uninterrupted or error-free, nor does ESCA make any warranty as to the accuracy or reliability of any media or other content stored on or provided through the Badge Site. ESCA further assumes no responsibility for errors or omissions on the Badge Site or any other website that may be referenced or linked to the Badge Site. References to trade shows, events, corporations, members, or their services or products are provided “as is” without warranties of any kind, either express or implied. No oral or written information or advice given by ESCA, its agents, or employees will create a warranty, and you may not rely on any such information or advice. Any use of the Badge Site is at your own risk.

11. Limitation of Liability

The Badge Site is provided for your convenience. ESCA will not be liable for any direct, indirect, special, exemplary, consequential, or incidental damages that result from your use of or inability to use the Badge Site or any information, files, or software of any kind obtained through the Badge Site, whether arising from mistakes, omissions, interruptions, deletion of files or emails, loss of use, data, or profits, errors, defects, viruses or other malicious code or defects that manifest contaminating or destructive properties, delays in operation or transmission, or any failure of performance, whether or not ESCA has been advised of the possibility of such damages, or under any theory of liability, arising out of or in connection with the use, communication, or transmission of information included on the Badge Site. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for accuracy of data input and output, and for maintaining a means external to the Badge Site for the reconstruction of lost data.

12. Indemnification

You agree to defend, indemnify, and hold harmless ESCA, its officers, directors, employees, members, volunteers, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to reasonable attorney’s fees) arising from: (a) your use of and access to the Badge Site; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your Content caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Badge Site.

13. Trademarks

“ESCA,” “Exhibition Services & Contractors Association,” “The Badge,” and all other trademarks, service marks, trade names, and logos of ESCA appearing on the Badge Site are the property of ESCA. All uses of such marks shall inure to the benefit of ESCA, and the use of ESCA’s marks in conjunction with any other logos or marks shall not create a unitary or composite mark. All other trademarks, trade names, service marks, logos, product names, and company names appearing on the Badge Site are the property of their respective owners.

14. Term and Termination

These Terms shall remain in full force and effect while you use the Badge Site. Without limiting any other provision of these Terms, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Badge Site (including blocking certain IP addresses) to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these Terms or of any applicable law or regulation. We may terminate your use or participation in the Badge Site or delete your account and any content or information that you posted at any time, without warning, in our sole discretion.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

15. Choice of Law

Except as may be prohibited by applicable law, these Terms will be governed by and construed and enforced in accordance with the laws of the State of Illinois, United States of America, without regard to its conflict-of-law principles. Except as may be prohibited by applicable law: you expressly consent, agree, and submit to the exclusive personal jurisdiction of the state or federal courts sitting in Will County, Illinois, with respect to any suit or legal action arising out of these Terms; you consent, submit to, and agree that venue for such suit or legal action is proper in said courts; and you waive any and all jurisdictional defenses you may have to the institution of any such suit or legal action in said courts.

16. Miscellaneous

Amendments are periodically made to the information included on the Badge Site; these amendments will be incorporated into the Badge Site. ESCA may make improvements and/or amendments to the Badge Site at any time. Any and all portions of these Terms shall automatically apply to all improvements and/or amendments as they appear on the Badge Site.

No failure or delay on the part of ESCA to exercise any right or remedy under these Terms will operate as a waiver thereof, nor will any single or partial exercise of any right or remedy preclude any other or further exercise thereof or of any other right or remedy. No express waiver or assent by ESCA of any breach of or default in any of these Terms will constitute a waiver of or assent to any succeeding breach of or default in the same or any other Term. Any rights or remedies granted under these Terms are in addition to and not in lieu of any other rights or remedies. If any provision of these Terms is held invalid, such invalidity shall not affect any other provisions of these Terms. Headings are inserted for reference only and shall not be construed as a part of these Terms. These Terms and the rights granted hereunder may not be assigned or transferred without the prior written consent of ESCA. These Terms shall inure to the benefit of ESCA and its successors and assigns.
